By accessing or using Lockgistics (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all visitors, registered users, Dealer Members, and technician sub-users of the platform.
2. Description of Service
Lockgistics is an AI-powered security product knowledge base designed for locksmiths, integrators, and contract hardware professionals. The Service provides access to product information, wiring references, code lookups, manufacturer directories, distributor connections, and AI-assisted learning tools. Certain features are available only to registered Dealer Members and their authorized technician sub-users.
3. Accounts and Registration
You must create an account to access protected features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate and complete information during registration and to keep your account information current. Lockgistics reserves the right to suspend or terminate accounts that violate these Terms.
4. Dealer Membership and Sub-Users
Dealer Members may invite technician sub-users up to the seat limit of their subscription tier. The Dealer Member is responsible for ensuring that all sub-users comply with these Terms. Sub-user access is contingent on the Dealer Member maintaining an active subscription. If a Dealer Member's subscription lapses or is canceled, sub-user access will be suspended automatically.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to transmit any content that is unlawful, harmful, defamatory, or infringing. You may not attempt to gain unauthorized access to any part of the Service, interfere with its operation, or reverse-engineer any component of the platform.
6. Intellectual Property
All content, trademarks, logos, and software on the Service are the property of Lockgistics or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Service without prior written permission.
7. AI-Generated Content
The Service uses artificial intelligence to generate product information, wiring guides, and other technical content. While we strive for accuracy, AI-generated content may contain errors or omissions. All information provided through the AI tools is for reference purposes only and should be verified against manufacturer documentation before use in professional applications. Lockgistics is not liable for any damages arising from reliance on AI-generated content.
8. Payments and Subscriptions
Dealer Membership subscriptions are billed on a monthly or annual basis as selected at checkout. All payments are processed securely through Stripe. Subscriptions automatically renew unless canceled before the renewal date. Refunds are not provided for partial billing periods. You may cancel your subscription at any time through your account settings.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Lockgistics does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Lockgistics and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to Lockgistics in the twelve months preceding the claim.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify registered users of material changes by email or by posting a notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
